At the August 6, 2026, CCRCC meeting, the following bylaws change was proposed and read into the minutes as the First Reading:
Proposed Bylaws Amendment: Protection of Confidential Information
ARTICLE XV
Confidentiality of Committee Proceedings
1. Confidential Information Defined
For purposes of this section, confidential information includes any nonpublic discussion, document, strategy, legal matter, personnel issue, or sensitive data shared during a committee meeting or executive session.
2. Duty of Confidentiality
All committee members, officers, and invited participants have an affirmative obligation to maintain confidentiality regarding confidential information disclosed during meetings. Such information may not be shared, reproduced, or discussed outside the meeting unless formally authorized by the committee.
3. Authorized Disclosure
Disclosure of confidential information may occur only when approved by a majority vote of the committee or when required by law. Any authorized disclosure must follow established procedures adopted by the committee.
4. Violations and Remedies
A breach of confidentiality may result in disciplinary action, including censure, suspension of committee privileges, or removal from the committee. Disciplinary action requires a 2/3 vote of the total current sitting members of the Committee. This requirement shall not be construed to lower the required vote total threshold by achieving a 2/3 majority of the members present which constitutes a quorum.
5. Process
If a simple majority of the Committee has a good and substantial belief that a Committee member has violated their duty of confidentiality outlined in Secion 2 of this Article, then a majority of the Committee, either verbally during a Committee meeting or via petition outside of a Committee meeting, may require the Chair to notify the member in question and require the member in question to appear before the Committee to address any concerns the members may have. If the member refuses to appear, or if the member appears and the Committee is not satisfied with the member’s response to the Committee’s concern, the Committee may invoke Section 4. Violations and Remedies as outlined in this Article.
6. Acknowledgment Requirement
All committee members shall sign an annual confidentiality acknowledgment affirming their understanding of and commitment to this section
